A Panama corporation, a private interest foundation and working in your own name serve different purposes. The right starting point is what you need to do, where you live and who should control the assets. As simple as possible. As structured as necessary.
YOUR OPTIONS
Three starting points. Three possible routes.
Start with the decisions that matter:
- your business activity and personal eligibility
- who owns, manages and benefits from the assets
- your tax position and ongoing administration
We assess which structure is legally appropriate and practical to maintain.
Working in your own name
Consider this route when:
– you personally provide services or carry on a business
– the activity is small and straightforward
– no separate ownership structure is needed
– your right to work and licensing have been checked
Corporation –
Sociedad Anónima
Consider an S.A. when:
– you need a vehicle for business or investment holdings
– partners or investors will hold shares
– contracts and governance need a separate entity
– you need to distinguish personal and company assets
Private Interest Foundation
Consider a foundation when:
– you need a framework for holding family assets
– administration and beneficiary rules matter
– succession planning is a central objective
– regular commercial trading is not its purpose
Panama corporation vs foundation vs working personally
| Decision point | Working in your own name | Corporation (S.A.) | Private interest foundation |
|---|---|---|---|
| Main purpose | Personal business or services | Business, investment or holding activities | Asset administration and succession planning |
| Legal framework | Activity-specific registration and permits | Law 32 of 1927 | Law 25 of 1995 |
| Separate legal person | No: you act personally | Yes | Yes; no shareholders |
| Ownership and administration | You manage the activity personally | Shareholders, directors and officers; resident agent | Foundation council and beneficiaries; resident agent |
| Commercial activity | Subject to eligibility and licences | Subject to activity-specific requirements | Not a regular trading vehicle; limited exceptions apply |
| Key question before proceeding | Are you permitted to carry out this activity in Panama? | Who controls the company and maintains its records? | How should assets be administered and benefits distributed? |
| Next step | Discuss your activity | Company formation service | Foundation formation service |
For incorporation requirements, the process and service details, see the company formation page. This comparison helps you choose a route before commissioning it.
What about a Panama LLC or a trust? The S. de R.L. and the fideicomiso may also deserve consideration. They are not interchangeable with an S.A. or foundation, and an English label such as “LLC” does not establish the tax treatment in another country. Ask your advisers to compare the actual legal and tax characteristics before choosing.
From a legal structure to a workable arrangement
Fischer & Cie. coordinates the Panamanian side of your proposed structure. Legal services under Panamanian law are provided by Karen Dorcy, Abogada. The starting point is your intended activity, ownership and administration—not a standard offshore package.
Ask for a clear distinction between initial setup costs and recurring obligations: resident agent services, applicable annual charges, accounting and any additional administration. The cheapest formation price is not a reliable measure of the lifetime cost.
Banking is a separate assessment. Incorporation does not guarantee acceptance by a bank. Review the personal and business banking service alongside your proposed structure.
YOUR OBJECTIVE
Which structure fits your situation?
Choose by purpose, control and practical use. Someone running a business has different needs from a family organising succession. A separate entity can be useful, but extra layers also create administration and cost.
These examples help frame the discussion. They are starting points for advice, not automatic recommendations.
- Family assets and succession: Consider whether a foundation provides a suitable framework for administration and beneficiaries. Asset transfers and their treatment in every relevant jurisdiction require review; a foundation is not a blanket shield against lawful claims.
- An operating business or investments: An S.A. may provide a separate vehicle for contracts, ownership and governance. Overseas customers alone do not determine where profits are taxable. The place of work, management and source of income matter.
- Business continuity and family planning together: A foundation can hold company shares, subject to its purposes. A combined structure needs a clear reason: aligned control, beneficiary and succession arrangements. It adds obligations and does not remove disclosure requirements.
For international clients: check both sides of the border
A Panama structure does not determine your tax position elsewhere. Whether you live in the United States, Canada, the United Kingdom or another country, have your adviser assess the proposed arrangement before transferring assets or starting business.
Prepare answers to these questions: Where are you tax resident? Where will decisions and work actually take place? How does your jurisdiction classify the entity? Which foreign-entity, ownership, account or distribution reporting rules could apply? How would contributions, distributions and succession be treated?
We coordinate the Panamanian legal work and can work with your adviser in the relevant jurisdiction. The cross-border assessment should precede incorporation, not follow it.
No structure should be sold on an unconditional promise of anonymity or zero tax.
Your next step
| Your question | Where to go | What you will find |
|---|---|---|
| I need a company for my business | Company formation | Requirements and service |
| I need a bank account for my structure | Banking | Account opening support |
| I am still deciding which route fits | Decision checklist | Prepare your brief |
BEFORE YOU DECIDE
A practical structure checklist
Use this preparation checklist to identify the questions your Panamanian lawyer and home-country adviser need to answer.
The aim is to:
- state the purpose of the arrangement
- separate business needs from family asset planning
- identify issues before paying for a structure
Why the same structure may not suit two clients
Your circumstances can produce different legal, tax and banking outcomes. Consider:
- the activity and countries involved
- where work and management take place
- who owns, controls and benefits from assets
- changes you expect over the next few years
A useful recommendation explains why the structure fits—and what could make it unsuitable.
Write down your answers before the consultation. You do not need to submit financial or identity documents through this page.
This checklist prepares the discussion. It does not determine your eligibility or replace individual advice.
- Purpose: What activity or asset requires a structure?
- People: Who will own, manage and benefit?
- Countries: Where do these people live, work and pay tax?
- Practicalities: What banking, licences and record keeping will be needed?
- Continuity: What should happen on retirement, incapacity or death?
Choosing a Panama structure: questions and answers
A corporation has shareholders and can serve business or holding purposes. A private interest foundation has no shareholders and is designed around its stated purposes and beneficiaries. It is not a vehicle for regular commercial trading; Law 25 allows limited commercial activities subject to conditions.
Not automatically. Combining them may help coordinate company ownership and succession, but adds administration. Establish the purpose of each layer and review the cross-border consequences before proceeding.
No. Panamanian tax treatment and your obligations in another country are separate questions. Have the source of income, place of management, entity classification and reporting obligations reviewed for your circumstances.
Company ownership, permission to reside and permission to work are separate matters. Check the activity, immigration position and any professional or business restrictions before operating.
