Panama Company Registry Certificate: Certificado de Persona Jurídica

Sources cross-checked on 5 November 2026

If a bank, contract, court proceeding or corporate review requires a Panama company registry certificate, the document you need is usually a Certificado de Persona Jurídica from the Registro Público de Panamá. The company application form also uses the term Certificado de Sociedad. What matters is which facts the certificate must establish: the company’s registered existence, its officers, representation rules or specific powers of attorney.

For real estate, the relevant document is a Certificado de Finca. Both documents come from the same authority but answer different questions. When buying property from a Panamanian company, you generally need to check both layers: title to the property and the authority of the person acting for the company to sell it.

Company and property records under one roof

The Registro Público records property rights and encumbrances as well as legally relevant facts about legal entities and representation. These functions are described in Article 1753 of Panama’s Civil Code. Do not assume its records have exactly the same legal effects as registers in your home jurisdiction.

Your purposeRelevant documentWhat it establishes
Check a company and its representationCertificado de Persona Jurídica or Certificado de SociedadRegistered company details and requested representation information
Check property ownership and encumbrancesCertificado de FincaInformation on the identified property unit and its registered encumbrances
Check the precise wording of a registered instrumentCopia autenticadaCertified copy of the specified registered document

The distinction between a certificate and a document copy matters. A certificate reports particular registry facts. To examine a charter clause, a registered resolution or the full wording of a power of attorney, you may also need a certified copy of the underlying instrument. The Registry publishes a separate form for this purpose.

Which company certificate do you need?

Terms such as existencia, vigencia and representación legal describe the facts to be established: existence, continuing status and representation. They do not imply three fixed, separate official products. The Registry’s company form offers the following choices.

Form optionPurpose when ordering documents
EstándarGeneral company registry certificate
Estándar con poderesStandard certificate including expressly identified powers of attorney
Directores, Dignatarios y Representante LegalTargeted evidence of directors, officers and legal representation
DisoluciónEvidence of dissolution
HistorialHistorical registry information

The form requires powers of attorney to be specified. Identify the person or the relevant entry. For a historical review, also describe the period and changes you need covered. An imprecise order can produce a formally correct certificate that does not establish the facts you need.

Ask the receiving bank or authority which information it requires. Proof of existence alone may be insufficient if signing authority for a contract also needs to be established.

What the Certificado de Persona Jurídica contains

A Registry sample published by Panama’s banking supervisor illustrates the following information. The actual scope depends on the company, the current registry entries and the certificate requested.

InformationMeaning
Company name and legal formIdentification of the legal entity
Registration details and folioIdentification of the registry record
Statement of vigenciaCertified continuing registry status
Directores and DignatariosRegistered directors and officers
Agente residenteRegistered resident agent
Representación legalRecorded representation provision
Capital and relevant detailsRegistered capital information
Issue details and verification featuresDate context and authenticity checks

The representation provision is particularly important when reviewing a contract. Being named as president, director or resident agent does not establish that a person may sign the proposed contract alone. Check the particular representation clause, any power of attorney and required internal resolutions.

Law 32 of 1927 distinguishes management by the Junta Directiva from powers reserved to shareholders. Under Article 55, directors need not be shareholders unless the articles of incorporation provide otherwise. Office, share ownership and authority for the particular transaction must therefore be checked separately.

For the basic structure, see our guide to incorporating a Sociedad Anónima in Panama.

What “vigente” means and why “Good Standing” needs clarification

A statement that a company is vigente must be read in the context of the certified registry record. It is not a comprehensive assessment of solvency, business activity or compliance with every legal obligation.

Distinguish the following forms of evidence.

Registry status and capacity to act. A company may be affected by a suspension of its derechos corporativos. DGI Resolution 201-3447 of 15 April 2025 explains that failure to pay the tasa única for three consecutive periods may trigger suspension. A registered suspension restricts business activity, dispositions of assets and binding corporate acts, subject to statutory exceptions such as defending existing claims. An older positive certificate is therefore not a reliable basis for a later transaction.

Tax status. The Dirección General de Ingresos issues separate tax certificates, notably the Paz y Salvo. This belongs to the tax process and must be distinguished from a Registry certificate. Tax registration in the Registro Único de Contribuyentes – RUC – is also a separate procedure with the DGI.

Financial position. Registered capital does not establish the current bank balance or the value of company assets. Law 32 distinguishes capital, share issuance and payment. A financial review therefore requires separate documents.

If a foreign institution asks for a “Certificate of Good Standing”, clarify its exact requirements. The English label alone does not establish which Panamanian registry and supplementary documents it will accept.

Does the certificate identify shareholders and beneficial owners?

A list of directors is not a list of owners. The company’s own Registro de Acciones under Article 36 of Law 32 records holders of registered shares and their holdings. Ownership verification therefore involves that share register and acquisition or transfer records.

Law 129 of 2020, as amended by Law 254 of 2021, establishes the separate Sistema Privado y Único de Registro de Beneficiarios Finales de Personas Jurídicas. This beneficial-owner system is administered by the Superintendencia de Sujetos no Financieros. The SSNF describes protected information, reporting by resident agents and access for competent authorities. It is not a publicly accessible attachment to an ordinary company certificate.

A bank review may therefore require a documented ownership chain through to the relevant individuals, in addition to the Registry certificate. The absence of public disclosure does not establish anonymity towards competent authorities or regulated institutions.

Applying and verifying online

For a company, have its full name, legal form and preferably its Folio electrónico ready. The form also accepts older registry references. Specify the certificate type and any additional information required.

The Registry website links to Servicios y Consultas Registrales at rp.gob.pa and provides instructions for searches and certificate requests. It publishes separately identified forms for applications made in person.

There are three separate steps.

  1. Search the registry record. Identify the correct company or Finca using its registry details.
  2. Obtain the appropriate certificate. Expressly order the information needed for the intended use.
  3. Verify the issued document. Check its verification features against the official electronic registry document.

The official web instructions describe document comparison, cotejo de documentos, using the document identifier. The published sample also contains QR verification features. A printed search result must therefore be distinguished from an issued, verifiable certificate.

A validation statement accompanies certificates since 2025

According to the banking supervisor’s notice concerning Registry Circular DG-006-2025, certificates have been issued since 1 March 2025 together with a Constancia de validación. This document pair is intended for one-time use as an original.

The underlying Registry circular also states that the certificate has no general expiry date. The receiving institution decides how recent the evidence must be and whether copies or comparisons are accepted.

If several banks or authorities require original evidence, establish in advance how many sets you need. For an apostille, confirm how the certificate and validation statement must be submitted together. One-time original use should not be confused with a general statutory validity of three or six months.

What determines the cost

Obtaining usable evidence can involve several services: the Registry certificate, additional certified copies, apostille, translation and delivery or commissioned procurement. A quotation should identify each item separately.

The certificate ordered, its scope, the application route and the recipient’s requirements determine the work involved. Company incorporation fees are not the fees for issuing a Registry certificate. Issuance time must also be distinguished from the total time needed to prepare documents for use abroad.

Before ordering, confirm the full scope and process, particularly if a bank or authority has set a deadline.

We do not give a flat price here. Explain what the certificate is needed for so that the quotation can separate Registry charges, certified copies, apostille, translation and procurement. Request a quotation.

Using the document abroad: apostille and translation

What an apostille certifies

The Hague Apostille Convention applies between Panama and Germany. For use elsewhere, first establish whether the Convention applies between Panama and the destination jurisdiction and whether the public document falls within its scope.

An apostille certifies the document’s origin, particularly the authenticity of the signature and the official capacity of the signatory. It does not assess company assets or the financial safety of a property purchase. Whether the document establishes the facts required by the receiving authority remains a separate question.

Competent authority and electronic apostilles in Panama

For documents of the state administration and autonomous institutions, Panama identifies the relevant department of the Ministerio de Relaciones Exteriores as its competent authority. The Panamanian Foreign Ministry is therefore the relevant contact for apostilling a Registry certificate.

The official HCCH notice states that the Ministry has been able to issue electronic apostilles since 27 May 2025, subject to Panama’s requirements for the public document. Applications are made through Panamá Conecta; issued electronic apostilles can be checked in the official apostille register. The Foreign Ministry website also links to Panamá Conecta.

Keep electronic documents in their original issued form. Ask whether the recipient requires electronic submission or a specified paper form. The availability of an electronic apostille does not settle every question about submission in a particular procedure.

When a translation is needed

German authorities and courts frequently require translations of foreign-language documents. The German Foreign Office explains that translations by publicly sworn or recognized translators in Germany are regularly accepted. The recipient determines the acceptability of a translation made abroad under the applicable rules.

For international use, first ask the recipient for its requirements, then obtain the Registry documents, arrange any required apostille and have the complete required package translated. Confirm whether the validation statement and apostille also need translation. Requirements in other jurisdictions must be checked with the relevant recipient.

If you need property records: Certificado de Finca

A Finca is the registered property unit. A company certificate does not establish which properties the company owns or the encumbrances affecting a particular property.

The official Finca form distinguishes purposes such as sale or financing, historical information and matters of condominium ownership, Propiedad Horizontal or PH. It expressly states that all Finca certificates show whether encumbrances are recorded. Additional details such as owner, area, location, acquisition date and value can be requested specifically.

Is the Finca number enough?

The Finca number or Folio real electrónico is the main starting point. For an unambiguous request, also obtain the Código de ubicación, province and any PH reference. The official form asks for these details, and the web instructions also use the location code to select property folios.

Do not rely solely on a street address or project name. For an apartment, establish whether the request concerns the individual unit or another Finca in the development.

Can third parties inspect the Registry?

Yes. Article 1755 of the Civil Code allows anyone, including a prospective buyer, to inspect the public Registry. Obtaining a certificate also requires compliance with the relevant identification, application and payment requirements.

What buyers should check in the documents

For a purchase review, consider the certificate, underlying entries and the actual property together.

CheckQuestion to resolve
OwnerIs the seller identified as holder of the right being transferred?
Identity and areaDo the registry unit, location, area and proposed purchase match?
Hipotecas and other GravámenesWhat encumbrances exist, and how will any required discharges be secured?
ServidumbresWhat easements benefit or burden the property, for example access or utilities?
Pending registry filingsAre there documents already filed that have not been finally processed?
Sale by a companyDo the owner company, representation evidence and required resolutions align?

Easements require particular care. Article 1766 of the Civil Code provides for entries against both the benefited and burdened property. Check the legal basis of any access route actually used.

The Registry instructions describe searches for entradas and their processing history. Because Article 1761 links the effect of registrable titles towards third parties to their presentation at the Registry, pending filings should also be reviewed.

These practical checks follow from the different layers of evidence. A Finca certificate does not replace a survey or a review of permitted development and use. It does not by itself prove building condition, vacant possession or every obligation outside the Registry. Unclear entries may require the underlying instruments and further evidence.

Take particular care if the offer concerns derechos posesorios, or possessory rights, rather than registered ownership. ANATI distinguishes recognition of those rights from the procedure for granting title. A possessory-right document must not be treated as equivalent to evidence of registered ownership.

Information to provide when ordering

A precise request identifies the recipient, destination jurisdiction and purpose. For companies, add the name and registry reference; for property, the Finca number and location code. Specify any representatives, powers of attorney, historical changes or encumbrances that need to be covered.

Also confirm how recent the evidence must be, how many originals are needed, and any apostille and translation requirements. This helps establish at the ordering stage whether the documents will serve their intended purpose.

Frequently asked questions

What is a Panama company registry certificate called?

Certificado de Persona Jurídica is commonly used for companies. The official form also uses Certificado de Sociedad. The appropriate certificate depends on the information required.

Does the certificate establish who owns a Panama S.A.?

A director list does not prove share ownership. Check the share register and ownership records. Beneficial owners are also recorded in a separate non-public system.

How long is the certificate valid?

Registry Circular DG-006-2025 states that it has no general expiry date. The recipient decides how recent it must be and whether copies are acceptable. One-time original use is a separate rule.

What is the Constancia de validación?

It is the validation statement accompanying the Registry certificate. Since March 2025 the pair is issued for one-time use as an original. Present them together.

Do I need an apostille and translation?

That depends on the recipient and procedure. The apostille route is available for covered Panamanian public documents where the Convention applies. A translation may also be required.

Can a prospective buyer inspect someone else’s Finca?

Yes. Article 1755 of the Civil Code makes the Registry publicly inspectable. Certificate issuance has additional application requirements.

Does the certificate replace the Paz y Salvo?

No. A Registry certificate and the DGI tax clearance are separate documents. Which tax evidence is needed depends on the transaction.
